These Terms & Conditions (“Terms”) govern your access to and use of https://overdrive.tools (the “Service”), operated by OverDrive Tools (“OverDrive”, “we”, “us”, “our”).

By accessing or using the Service, you agree to be bound by these Terms.

OverDrive Tools is a software service that enables users to analyze, organize, move, delete, and manage files, folders, and sharing permissions within their own Google Drive accounts.

All actions performed by the Service are executed solely based on explicit user instructions.

2. User Responsibility & Assumption of Risk

You acknowledge and agree that:

• You are solely responsible for all actions you initiate through the Service
• You select and confirm which files, folders, and permissions are affected
• You understand that actions such as deletion or permission removal may be irreversible

OverDrive does not perform autonomous, scheduled, or background destructive actions without explicit user initiation.

3. Authorization & Third-Party Services

The Service integrates with third-party platforms, including Google Drive.

You authorize OverDrive to act on your behalf only to the extent required to execute your instructions.

OverDrive is not responsible for:

• Third-party platform behavior or outages
• Google API limitations or changes
• Data loss or access issues caused by third-party services

4. Payments, Subscriptions & Billing

Some features of the Service may be offered for free, while others may require payment, subscription, or usage-based fees.

Pricing and billing terms will be presented prior to any charge.

• Subscriptions may renew automatically unless cancelled
• You are responsible for maintaining valid payment information
• Failure to complete payment may result in suspension or termination of paid features

Except where required by law, all fees are non-refundable.

OverDrive reserves the right to modify pricing or introduce new charges at any time.

5. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND.

OVERDRIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY OR RELIABILITY
• ERROR-FREE OR UNINTERRUPTED OPERATION

6. Destructive Actions Disclaimer

The Service enables actions that may result in:

• Permanent deletion of files or folders
• Loss of access or sharing
• Structural changes to Google Drive

ALL SUCH ACTIONS ARE PERFORMED AT YOUR SOLE RISK.

OverDrive is not responsible for any loss of data, access, permissions, or content resulting from user-initiated actions.

7. Software Bugs & Errors

You acknowledge that software may contain errors, bugs, or unintended behavior.

OverDrive shall not be liable for damages arising from:

• Software defects
• Synchronization failures
• Partial or failed operations
• Unexpected or incorrect results

This applies even if such issues result in data loss or permission changes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

OVERDRIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION.

Where liability cannot be excluded, total liability shall be limited to the amount paid by you (if any) during the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless OverDrive from claims arising out of:

• Your use of the Service
• Actions you initiate through the Service
• Violations of these Terms or third-party rights

10. Service Availability & Termination

We may modify, suspend, or discontinue the Service at any time.

You may stop using the Service at any time by disconnecting your Google account.

11. Governing Law

These Terms shall be governed by applicable law, without limiting mandatory consumer protections under local law.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.
